Types of Address Transfers

The legal procedure drastically changes depending on where you are moving your registered office.

Within Same City

The simplest form of transfer. You are moving to a new office building within the local limits of the same city, town, or village.

Requires Board Resolution & Form INC-22.

Outside City, Same State

Moving from one city to another within the same state. This requires shareholder approval via a Special Resolution.

Requires EGM, Form MGT-14, and Form INC-22.

State to State

The most complex transfer. Shifting jurisdiction from one state to another requires altering the MoA and gaining Central Govt approval.

Requires RD Approval, INC-23, Ad Publication, INC-28, and INC-22.

Your registered office is the official address for all government communication. Failing to maintain an active address can lead to severe consequences.

Official Notices

The MCA, Income Tax Department, and GST authorities send all physical notices, summons, and demands exclusively to the registered office. Missing these notices can result in ex-parte judgments against your company.

Risk of 'Strike-Off'

If physical letters sent by the ROC are returned undelivered, the Registrar assumes the company is not carrying out business. They can initiate 'Strike Off' proceedings under Section 248, permanently freezing the company's existence.

Step 2: Drafting Resolutions

Step 4: Master Data Update

Once the MCA verifies the documents, your company's Master Data is permanently updated with the new Registered Office address.

Utility Bill (New Address)

Electricity, Gas, or Water bill for the NEW address (must not be older than 2 months).

NOC / Rent Agreement

No Objection Certificate from the property owner. If rented, a copy of the Rent Agreement.

Digital Signature (DSC)

An active Class 3 DSC of one of the authorized directors to sign the MCA forms.

List of Creditors (Inter-State)

If moving out of state, a CA-certified list of creditors is required to seek Regional Director approval.

Don't Forget Your GST!

Changing your address with the MCA does not automatically update your GST registration. You must file a Core Amendment with the GST portal to reflect the new address and avoid ITC mismatches.
